1.Introduction

Welcome to Wheel of Whales, a play-to-earn game developed by Whale.io (“we,” “us,” or “our”), located in Willemstad, Curaçao. The game is accessible via Telegram (@wheelofwhalesbot), the Wheel of Whales mobile app, our Progressive Web App (PWA), and our website at www.wheelofwhales.io (collectively, the “App”). By accessing or participating in the App through any of these platforms, you (“you” or “User”) agree to comply with these Terms and Conditions (“Terms”), our Privacy Policy, and any supplemental terms or policies referenced herein. Please read them carefully before participating. If you do not agree with these Terms, you must not use the App.

2.Eligibility

2.1 Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to play Wheel of Whales.

2.2 Account Registration

To participate, you must create an account using a valid Telegram account or email address. The game is free and available to anyone meeting these requirements.

2.3 Geographic Restrictions

The App may not be available in all countries due to local laws or restrictions. It is your responsibility to ensure participation complies with the laws of your country of residence.

2.4 Whale Account Linking 

• Mandatory Linking: To convert mWhale Tokens to Whale Tokens (as described in Section 5.4), you must connect your Wheel of Whales account to a single Whale account operated by Whale.io.
• One Whale Account: Only one Whale account may be linked per Wheel of Whales account. Attempting to link multiple Whale accounts will result in account suspension.
• Permanent Connection: Once a Whale account is linked, the connection is permanent and cannot be disconnected or changed. You acknowledge that linking your account is irreversible.
• KYC requirement: Whale.io reserves the right to carry out additional KYC verification procedures for any withdrawals, or for redeeming rewards, as regulated by Whale.io gaming license.
• Whale.io Terms: Use of the Whale account is subject to Whale.io’s Terms and Conditions, available at https://whale.io/terms-and-conditions. You must comply with both these Terms and Whale.io’s Terms.

3.Game Mechanics

3.1 Clicker Game

The core gameplay involves tapping to earn mWhale Tokens. Players can enhance their earning potential by holding a Whale NFT.

3.2 Energy System

Players have limited energy that regenerates over time, with each tap consuming energy.

3.3 Wheel Spins

Earn free spins on the Wheel by completing tasks or achieving in-game milestones. Prizes may include mWhale Tokens, freespins in @whale, or up to 1000 TON.

3.4 Minigames

Participate in various minigames to earn additional tokens.

3.5 Tasks

Complete tasks such as inviting friends or engaging on social platforms to unlock features or earn tokens.

3.6 Empire

Realistic business simulator where you upgrade your businesses to increase earnings, hire employees to collect profits for you, and run marketing campaigns to boost earnings.

4.Invitations

4.1 Refer a Friend Bonus

You earn 10% of tokens earned by your friends. All invited users are visible in the Friends tab. You can see your RAF earnings per user and claim them every 24 hours.

5.Earning and Redeeming Tokens

5.1 mWhale Tokens

Earn mWhale Tokens through gameplay, which can be used for in-game purchases and activities. mWhale Tokens have no real-world monetary value outside the App unless converted to Whale Tokens as described in Section 5.4.

5.2 Token Allocation

Up to 10% of the total $Whale token supply may be distributed via the Wheel of Whales game.

5.3 Token Redemption

Details on redeeming mWhale Tokens for in-game purposes will be provided in the App, with further updates communicated as available.

5.4 mWhale to Whale Token Conversion

• Conversion Window: You may convert mWhale Tokens to Whale Tokens ($WHALE), the native token of the Whale.io platform, during a limited time window (“Conversion Window”). The Conversion Window’s start and end dates will be announced via the App or Whale.io’s social channels (e.g., Telegram, X). Conversions are not available outside this period.
• Conversion Requirements:
  • You must have a linked Whale account (per Section 2.4).
  • The minimum amount for each conversion is 100,000 mWhale Tokens.
  • You may convert mWhale Tokens multiple times during the Conversion Window, choosing the amount to convert each time, provided the minimum threshold is met.
• Conversion Rate: The conversion rate of mWhale Tokens to Whale Tokens will be determined by us and may change during the Conversion Window. The applicable rate will be displayed at the time of conversion. You acknowledge that the rate is subject to fluctuation and accept the rate applied at the time of your conversion.
• Double or Nothing Feature:
  • During the conversion process, you may opt to participate in the “Double or Nothing” feature, which offers a chance to double the Whale Tokens you would receive from the conversion.
  • The outcome of Double or Nothing is determined by a computer algorithm designed to ensure randomness and is final. Results cannot be challenged or appealed.
  • If you win, you receive double the Whale Tokens for the converted amount. If you lose, the mWhale Tokens you attempted to convert are permanently deleted from your account and cannot be redeemed or recovered.
  • All Double or Nothing outcomes are final, and you waive any right to dispute the results or seek compensation for lost tokens.
• Conversion Process:
  • To convert, follow the instructions in the App’s conversion interface or on the website – https://wheelofwhales.com/converting-mwhale-to-whale-tokens/.
  • Converted Whale Tokens will be transferred to your linked Whale account, subject to Whale.io’s Terms.
  • We reserve the right to suspend or cancel conversions for any reason, including suspected fraud, technical issues, or regulatory requirements.

6. User Conduct

6.1 Fair Play

Players must engage fairly and refrain from cheating, including using bots, hacks, or unauthorized tools. This includes attempting to manipulate the Double or Nothing feature or token conversions. Violators may be blocked, with their earned tokens removed from the App.

6.2 Community Standards

Maintain respectful behavior within the App and related channels, avoiding offensive or harmful conduct.

7. Data Collection and Privacy

7.1 Data Usage

By playing Wheel of Whales, you consent to the collection and use of your data as detailed in our Privacy Policy, available at www.wheelofwhales.io/privacy.

7.2 Third-Party Platforms

The App integrates with third-party services (e.g., Telegram, Whale.io, analytics tools). We are not responsible for their data practices. Linking your Whale account may involve sharing data with Whale.io, subject to their Privacy Policy.

8. Disclaimers and Limitation of Liability

8.1 No Warranties

The App, including the Double or Nothing feature and token conversion, is provided “as is,” without guarantees of availability, reliability, or performance.

8.2 Liability

To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the App, including loss of tokens due to Double or Nothing outcomes, conversion rate changes, or technical issues.

8.3 Token Value

You acknowledge that Whale Tokens may fluctuate in value, and we are not responsible for any perceived or actual loss in value. Token will have value connected to usdt after token generation event (TGE).

9. Termination and Suspension

9.1 Termination by User

You may discontinue use of the App at any time. Note that a linked Whale account cannot be disconnected (per Section 2.4).

9.2 Termination by Us

We reserve the right to suspend or terminate your access at our discretion, including for violations of these Terms, suspected fraud, or regulatory compliance. Upon termination, unconverted mWhale Tokens may be forfeited.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of Curaçao, without regard to conflict-of-law principles.

10.2 Arbitration

Any disputes arising from these Terms or your use of the App will be resolved through binding arbitration in Curaçao, conducted by a single arbitrator under the rules of the Curaçao International Arbitration Centre. You waive any right to participate in a class action or jury trial.

11. Regulatory Compliance

You are responsible for ensuring your use of the App, including token conversions, complies with applicable laws, including tax, anti-money laundering, and gaming regulations. We may require identity verification for conversions or other activities to comply with legal obligations.

12. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via the App, email, or Telegram. Continued use of the App after changes constitutes acceptance of the updated Terms.

13. Miscellaneous

13.1 Force Majeure

We are not liable for delays or failures in performance due to events beyond our control, including technical failures, regulatory changes, or natural disasters.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

13.3 Entire Agreement

These Terms, together with the Privacy Policy and Whale.io’s Terms (where applicable), constitute the entire agreement between you and us in regard to using the App, the website and converting tokens.
